These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Baraza ("Baraza," "we," "our," or "us") governing your access to and use of the campaign intelligence platform available at getbaraza.com and any related applications or services (collectively, the "Platform").
PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PLATFORM.
By accessing or using the Platform, you represent that: (a) you are at least 18 years of age; (b) you have the legal authority to enter into these Terms on behalf of yourself or the organization you represent; (c) your use of the Platform will comply with all applicable laws and regulations; and (d) you have read and agree to our Privacy Policy, which is incorporated herein by reference.
If you are accepting these Terms on behalf of a campaign, political organization, nonprofit, or other entity, you represent that you have authority to bind that entity, and references to "you" include that entity.
Baraza is a software-as-a-service (SaaS) campaign intelligence platform designed to assist political campaigns, advocacy organizations, and civic groups with:
We reserve the right to modify, suspend, or discontinue any feature or the Platform itself at any time with reasonable notice.
You must create an account to access the Platform. You agree to provide accurate, complete, and current registration information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to notify us immediately at support@getbaraza.com of any unauthorized use of your account. Baraza will not be liable for any loss or damage arising from your failure to protect your account credentials.
Access to the Platform requires a paid subscription. Details of available plans, pricing, and included features are set forth on our pricing page and may be updated from time to time with reasonable notice.
Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected). By providing payment information, you authorize Baraza to charge the applicable fees on each billing cycle. Subscriptions automatically renew unless canceled prior to the renewal date.
All fees are non-refundable except as required by applicable law or as expressly stated in a separate written agreement. We do not provide refunds for partial billing periods.
We may change subscription pricing with at least 30 days' advance notice. Continued use of the Platform after a price change takes effect constitutes acceptance of the new pricing.
You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. Baraza will collect taxes where legally required to do so.

You are solely responsible for ensuring your use of the Platform complies with all applicable laws in your jurisdiction, including but not limited to: campaign finance and election laws (Federal Election Commission regulations, state election laws), data privacy laws (GDPR, CCPA, state privacy statutes), anti-spam and telecommunications laws, and nonprofit governance requirements. Baraza does not provide legal advice and makes no representation that use of the Platform satisfies any particular legal requirement.
You retain full ownership of all User Content you submit to the Platform. By submitting User Content, you grant Baraza a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and display your User Content solely as necessary to provide the Platform's services to you.
You may export your User Content at any time using the Platform's export features. Upon termination of your account, you may request a data export within 30 days before deletion occurs pursuant to our Privacy Policy.
You represent and warrant that: (a) you own or have all necessary rights to the User Content you submit; (b) your User Content does not infringe any third-party intellectual property rights; and (c) your collection and use of personal data in User Content complies with all applicable privacy laws.
Important Notice Regarding Political Neutrality
Baraza is a neutral technology platform and software tool. Baraza does not endorse, support, oppose, or take any position with respect to any candidate, political party, ballot measure, campaign, cause, advocacy position, or political activity of any kind.
Baraza provides infrastructure and organizational software. The Platform does not make political decisions, determine campaign strategy, influence voter behavior, or direct any political or advocacy activity. All political decisions, messaging, strategy, outreach, and activities are made exclusively by you and your organization.

THE PLATFORM IS A TOOL TO ASSIST WITH CAMPAIGN AND ORGANIZATIONAL OPERATIONS. BARAZA MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE OF ANY KIND REGARDING:
Any analytics, projections, or performance data displayed on the Platform are provided for informational purposes only and do not constitute guarantees, forecasts, or professional advice of any kind.
Baraza and its licensors own all rights, title, and interest in and to the Platform, including all software, designs, text, graphics, interfaces, trademarks, logos, and documentation (collectively, "Baraza IP"). These Terms do not grant you any rights to Baraza IP except the limited license to use the Platform as expressly set forth herein.
If you submit suggestions, ideas, or feedback about the Platform, you grant Baraza a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation or compensation to you.
If you believe content on the Platform infringes your copyright, please send a notice to legal@getbaraza.com with the information required under the Digital Millennium Copyright Act.
The Platform may integrate with or link to third-party services, including but not limited to Google (OAuth, Calendar), ActBlue, and other campaign finance or data platforms ("Third-Party Services"). These integrations are provided as a convenience.
BARAZA IS NOT RESPONSIBLE FOR, AND EXPRESSLY DISCLAIMS ALL LIABILITY ARISING FROM:
Your use of any Third-Party Service is governed solely by that service's terms and privacy policy. We encourage you to review those documents before enabling any integration.
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BARAZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:
NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY BARAZA OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12.1 Exclusion of Consequential Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BARAZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, INVESTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF BARAZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
12.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BARAZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO BARAZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
12.3 No Liability for Political, Electoral, or Campaign Outcomes. BARAZA SHALL HAVE ABSOLUTELY NO LIABILITY WHATSOEVER FOR ANY ELECTION OUTCOMES, CAMPAIGN RESULTS, FUNDRAISING PERFORMANCE, DONOR RELATIONSHIPS, VOTER BEHAVIOR, REGULATORY PENALTIES, CAMPAIGN FINANCE VIOLATIONS, OR ANY OTHER POLITICAL OR CIVIC OUTCOME ARISING FROM YOUR USE OF THE PLATFORM, REGARDLESS OF THE LEGAL THEORY ASSERTED AND REGARDLESS OF WHETHER BARAZA WAS INFORMED OF THE POSSIBILITY OF SUCH OUTCOMES.
12.4 No Liability for User Actions. BARAZA SHALL NOT BE LIABLE FOR ANY CLAIMS, DAMAGES, OR LOSSES ARISING FROM: (A) YOUR VIOLATION OF THESE TERMS; (B) YOUR VIOLATION OF ANY APPLICABLE LAW; (C) YOUR CAMPAIGN OR ADVOCACY ACTIVITIES; (D) THE CONTENT OF ANY COMMUNICATIONS YOU SEND USING THE PLATFORM; OR (E) ANY THIRD PARTY'S ACCESS TO OR USE OF YOUR ACCOUNT.
12.5 Essential Basis. THE LIMITATIONS IN THIS SECTION APPLY TO ALL THEORIES OF LIABILITY, INCLUDING CONTRACT, TORT, STRICT LIABILITY, AND STATUTE. THESE LIMITATIONS REFLECT A REASONABLE ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND BARAZA. BARAZA WOULD NOT PROVIDE THE PLATFORM WITHOUT THESE LIMITATIONS.
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Baraza and its officers, directors, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
Baraza reserves the right to assume exclusive control of any matter subject to indemnification. You agree to cooperate fully with Baraza's defense of any such claim and not to settle any such claim without Baraza's prior written consent.
You are solely responsible for the accuracy, completeness, and legality of all data you input into the Platform. Baraza does not verify, validate, or guarantee the accuracy of any User Content. Baraza shall have no liability for errors, inaccuracies, or omissions in User Content or for any decisions made based on inaccurate data.
You represent and warrant that you have obtained all legally required consents and authorizations for collecting and processing the personal data of any individuals whose information you enter into the Platform.
You may cancel your subscription and terminate your account at any time by contacting support@getbaraza.com or through the account settings page. Cancellation takes effect at the end of the current billing period.
We reserve the right to suspend or terminate your account and access to the Platform, with or without notice, if we reasonably determine that: (a) you have violated these Terms; (b) your use of the Platform poses a security or legal risk; (c) you have provided false registration information; or (d) continued provision of the Platform to you would subject Baraza to legal liability or reputational harm.
Upon termination, your right to access and use the Platform immediately ceases. Sections 6, 7, 9, 10, 11, 12, 13, 16, 17, and 18 of these Terms survive termination. We will retain and then delete your data in accordance with our Privacy Policy.
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. You consent to the exclusive personal jurisdiction of the state and federal courts located in Cook County, Illinois for the resolution of any disputes not subject to arbitration under Section 17.
Before initiating any formal proceeding, you agree to first contact Baraza at legal@getbaraza.com and attempt to resolve the dispute informally. The parties agree to negotiate in good faith for at least 30 days before pursuing formal resolution.
If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Platform (except for claims described in Section 17.4) shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Chicago, Illinois, or via videoconference, by a single neutral arbitrator. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND BARAZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class proceeding.
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or to prevent irreparable harm.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting an updated version on the Platform and sending notice to your registered email address at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance. If you do not agree to the revised Terms, you must cancel your account before the effective date.
These Terms, together with the Privacy Policy and any applicable Order Form or subscription agreement, constitute the entire agreement between you and Baraza regarding the Platform and supersede all prior agreements and understandings.
If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.
Baraza's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
You may not assign or transfer these Terms or any rights hereunder without Baraza's prior written consent. Baraza may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
Baraza shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, war, terrorism, pandemic, natural disaster, governmental action, or internet infrastructure failures.
